1. Services

FlipFlop Logic provides custom software development services including discovery sprints, rapid MVP development, and workflow automation solutions. All services are provided under fixed-price agreements with clearly defined scope and deliverables.

2. Project Agreements

Scope and Pricing

• All projects begin with a clear scope definition and fixed-price quote
• Changes to scope require written agreement and may result in additional charges
• Payment terms are outlined in individual project agreements

Deliverables

• Source code ownership transfers to client upon final payment
• Documentation and deployment instructions are included
• Training and handover sessions are provided as specified

3. Client Responsibilities

• Provide accurate requirements and timely feedback
• Make necessary stakeholders available for project meetings
• Provide access to required systems and data
• Review and approve deliverables within agreed timeframes

4. Intellectual Property

Client Ownership

Upon full payment, clients receive complete ownership of:

• All custom code developed for their project
• Project documentation and specifications
• Database schemas and data structures

Retained Rights

FlipFlop Logic retains rights to general methodologies, frameworks, and non-client-specific tools developed during projects.

5. Warranties and Support

Software Quality

We warrant that delivered software will:

• Function substantially in accordance with specifications
• Be free from material defects for 30 days after delivery
• Include all source code and documentation as agreed

Support Period

Included support covers bug fixes and clarifications for 30 days post-delivery. Extended support and new feature development are available under separate agreements.

6. Limitation of Liability

FlipFlop Logic's total liability for any project is limited to the total amount paid by the client for that specific project. We are not liable for indirect, incidental, or consequential damages.

7. Confidentiality

We maintain strict confidentiality of all client information and will sign non-disclosure agreements as needed. Client data is protected and never shared with third parties without explicit consent.

8. Termination

Either party may terminate a project agreement with written notice. In case of termination:

• Client pays for work completed to date
• All completed deliverables are transferred to client
• Work-in-progress source code may be provided at our discretion

9. Dispute Resolution

We prefer to resolve disputes through direct communication. If formal resolution is needed, disputes will be settled through binding arbitration in accordance with the laws of our operating jurisdiction.

10. Changes to Terms

These terms may be updated from time to time. Current clients will be notified of significant changes. New projects will be governed by the terms in effect at the time of project agreement.
